1. About doctoGyn
doctoGyn is a cloud-based Electronic Medical Record (EMR) platform operated by Cynalys (“Company”, “we”, “our”).
The platform is exclusively intended for licensed healthcare professionals acting within the scope of their professional activity.
doctoGyn provides:
- Digital medical record management
- Patient data centralization
- Integration with medical equipment
- Administrative practice management
- Secure patient communication
The platform is designed to improve care quality, operational efficiency, and data security.
2. Business-to-Business Use Only
The Services are provided strictly to healthcare professionals acting in a professional capacity.
By subscribing to doctoGyn, you represent and warrant that:
- You are a licensed healthcare professional
- You are using the Services for professional purposes only
- You are not acting as a consumer
Consumer protection regulations may not apply.
3. Account Registration
Users must:
- Provide accurate and complete information
- Maintain confidentiality of login credentials
- Not share or transfer accounts
You are fully responsible for all activities conducted under your account.
4. Professional Responsibility
doctoGyn is a clinical management support tool.
It does not:
- Replace medical judgment
- Provide medical advice
- Guarantee clinical outcomes
All medical decisions remain the sole responsibility of the healthcare professional.
5. Data Protection & Regulatory Compliance
doctoGyn is designed in accordance with international data protection standards, including:
- EU General Data Protection Regulation (GDPR)
- Security principles aligned with HIPAA standards (United States)
- Applicable Tunisian data protection laws
5.1 Roles Regarding Data
- Healthcare professionals act as Data Controllers for patient data.
- Cynalys acts as Data Processor for patient medical data.
- Cynalys acts as Data Controller for account, billing, and administrative data.
6. Patient Data & Legal Compliance
Users are solely responsible for:
- Informing patients about data processing
- Obtaining required consent
- Ensuring lawful basis for processing health data
- Complying with applicable healthcare regulations
7. Payments and Billing
Subscription payments may be processed by an authorized third-party payment service provider or Merchant of Record.
Such provider may:
- Act as the official seller for the transaction
- Issue invoices
- Collect and remit applicable taxes (VAT, sales tax, etc.)
By completing a transaction, you agree to the applicable payment provider’s terms.
8. Taxes
Prices may be displayed exclusive or inclusive of applicable taxes depending on jurisdiction.
Applicable taxes are determined and collected in accordance with local regulations.
9. Refunds
Refund conditions are governed by a separate Refund Policy available on the website.
10. Security
Cynalys implements appropriate technical and organizational measures including:
- Data encryption
- Secure cloud hosting
- Role-based access control
- Regular backups
However, no system can guarantee absolute security.
11. Prohibited Use
Users may not:
- Upload unlawful content
- Violate patient confidentiality
- Introduce malware
- Use the platform for fraudulent or illegal purposes
We reserve the right to suspend accounts violating these terms.
12. Intellectual Property
All intellectual property rights in the platform remain the exclusive property of Cynalys.
Patient data remains under the responsibility of the healthcare professional.
13. Limitation of Liability
To the maximum extent permitted by law:
- Services are provided “AS IS” and “AS AVAILABLE”
- Cynalys disclaims all implied warranties
- Cynalys is not responsible for medical decisions
- Indirect, incidental, or consequential damages are excluded
Liability, where applicable, is limited to the minimum permitted by law.
14. Indemnification
You agree to indemnify and hold harmless Cynalys against any claims arising from:
- Violation of these Terms
- Regulatory non-compliance
- Improper use of the platform
15. Service Modifications
We may update these Terms at any time.
Material changes will be notified at least 30 days in advance.
Continued use constitutes acceptance.
16. Governing Law
Unless mandatory local law provides otherwise:
- These Terms are governed by Tunisian law.
- Courts of Tunis shall have jurisdiction.
